Terms of Sale – Wholesale Marketplace

These Terms of Sale ("Agreement") govern all purchases made through PlayLoad Wholesale Gaming’s wholesale marketplace ("Marketplace"). By placing an order, you ("Buyer") agree to these Terms of Sale. If you disagree, do not place an order.

Agreement and Acceptance

Binding Agreement: By placing an order, you confirm that you have read, understood, and agree to these Terms of Sale. These terms apply to all orders made through the Marketplace, including wholesale trading card games, accessories, supplies, and other products offered on the Marketplace.

Modification of Terms: PlayLoad Wholesale Gaming may modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting. It is your responsibility to periodically review the Terms of Sale.

Order Process

Placing Your Order: When you place an order, you are selecting the quantities and distributors for your items. PlayLoad Wholesale Gaming will submit that exact order, including quantities and the selected distributors, to our trusted distributor(s) for processing.

Order Processing with Distributors: Once we receive the order from the Buyer, we submit the exact order to the distributor(s), which begins the processing of your order. The products are then shipped to our warehouse.

Inspection of Order: Upon arrival at our warehouse, the order is inspected to verify that the products match the order, including quantity and condition. After verification, the products will be shipped to the Buyer.

Pricing and Payment

Pricing: All prices listed on the Marketplace are in U.S. dollars (USD) unless otherwise stated. Prices are subject to change without notice. The price charged will be the price displayed at the time of order confirmation. Additional charges, such as taxes, shipping fees, or other applicable charges, will be calculated and added to the final invoice.

Payment Terms: Full payment is required at the time of purchase via major credit cards only. By placing your order, you authorize PlayLoad Wholesale Gaming to charge your payment method for the total order amount, including applicable taxes, shipping fees, and any additional charges.

Shipping Costs: Shipping costs are only estimated at checkout. Final shipping costs will be calculated once we have received the order from the distributor(s) and processed them at our warehouse. A final invoice, including freight costs, will be sent to you, and payment will be processed at that time.

Shipping and Delivery

Shipping Policy: We will ship orders using the most cost-effective option available to us. While we make reasonable efforts to ship orders promptly, delivery dates are estimates and may vary due to factors outside our control, such as carrier delays or customs issues.

Risk of Loss: Once products are shipped, title and risk of loss pass to the Buyer. The Buyer assumes full responsibility for the safe receipt of products, including addressing any damage or loss that occurs during shipping.

Shipping Delays: PlayLoad Wholesale Gaming is not liable for any shipping delays caused by third-party carriers, customs processing, or other factors outside of our control. We will notify the Buyer of any known delays but cannot guarantee specific delivery dates.

Returns and Cancellations

No Returns Accepted: All sales are final. PlayLoad Wholesale Gaming does not accept returns on wholesale marketplace orders. Buyers should review their order carefully before finalizing the purchase.

Cancellations: Orders can only be canceled before they are processed with the distributor(s). Once your order has been processed with the distributor, it cannot be canceled. Any request to cancel an order after processing will be denied, and no return or refund will be accepted.

Inventory Discrepancies

Inventory Synchronization: While we make every effort to sync available inventory with our distributor(s), discrepancies may occur. If an item listed in your order is unavailable at the time of fulfillment, we will promptly notify you of the unavailability and offer alternatives or a refund for the unavailable product.

Limitation of Liability

Limitation of Responsibility: PlayLoad Wholesale Gaming’s liability to the Buyer, whether in contract, tort, or otherwise, is limited to the total amount paid by the Buyer for the product(s) in question. We are not responsible for indirect, special, incidental, or consequential damages, including lost profits, business interruptions, or any other damages that arise from the use or inability to use the products.

Force Majeure: PlayLoad Wholesale Gaming will not be held liable for failure to fulfill orders due to causes beyond our control, including but not limited to natural disasters, labor disputes, shipping delays, government restrictions, or supplier failures.

Membership and Account Terms

Active Membership: Certain benefits, pricing, and discounts are available only to active members of the PlayLoad Wholesale Gaming wholesale program. Membership must remain active and in good standing to access wholesale prices and associated benefits.

Account Responsibility: Buyers are responsible for maintaining the confidentiality of their account login credentials and for all activity that occurs under their account. If you believe your account has been compromised, you must notify PlayLoad Wholesale Gaming immediately.

Indemnification

The Buyer agrees to indemnify and hold harmless PlayLoad Wholesale Gaming, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, or expenses arising from the use of the Marketplace, violations of these Terms, applicable laws, or third-party rights.

Dispute Resolution

Mediation and Arbitration: In the event of a dispute, the parties agree to attempt resolution through mediation first. If mediation is unsuccessful, the dispute will be resolved by binding arbitration. Arbitration will take place in Maricopa County, Arizona, and will be conducted in accordance with the rules of the American Arbitration Association (AAA).

Governing Law: These Terms of Sale are governed by the laws of the state of Arizona, United States, without regard to its conflict of laws principles.

Privacy and Data Protection

Your use of the Marketplace is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information. By purchasing through our Marketplace, you consent to the terms of the Privacy Policy.

Miscellaneous

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement: These Terms of Sale constitute the entire agreement between PlayLoad Wholesale Gaming and the Buyer. Any previous agreements, communications, or understandings, whether oral or written, are superseded by this Agreement.
